These Terms of Use ("Terms") govern your access to and use of mika-tache.com and any related pages, content, and digital products, including the A(i)gency course and the Operator plan (together, the "Site" and the "Program"). The Site and Program are operated by Saint MGMT LLC, a Virginia limited liability company, operating the Mika-Taché brand ("we," "us," "our"). By using the Site or purchasing the Program, you agree to these Terms. If you do not agree, do not use the Site.
 

1. Who may use the Site

You must be at least 18 years old and able to form a binding contract to purchase the Program. By using the Site you confirm that the information you provide is accurate and that you will keep it current.
 

2. Your account

If you create an account or enroll in the Program, you are responsible for your login credentials and for all activity under your account. Do not share your credentials or let anyone else use your access. Notify us promptly if you believe your account has been used without your permission.
 

3. Purchases and the Program

Purchases of the Program are also governed by our Enrollment and Plan Policy and our Refund Policy, which are incorporated into these Terms by reference. Prices are in U.S. dollars, are shown at checkout, and may change at any time; the price in effect when you buy governs your order. Payments are processed by a third-party payment processor, and you agree to its terms.
 

4. Our content and your license

All content on the Site and in the Program, including text, video, lessons, quizzes, worksheets, the Prompt and Template Vault, the Clone My Workspace Starter Kit, graphics, logos, and the underlying methods and structure, is owned by Saint MGMT LLC or its licensors and is protected by copyright, trademark, and other laws. We grant enrolled Students a limited, personal, non-exclusive, non-transferable, revocable license to use purchased content for their own learning and business, as described in the Enrollment and Plan Policy. You may not copy, share, resell, publish, distribute, screen-record, or create derivative or competing products from our content, and you may not use it to train a machine-learning model.
 

5. Acceptable use

You agree not to: use the Site or Program unlawfully; infringe anyone's rights; upload harmful code; scrape, harvest, or bulk-download content beyond normal personal use; circumvent access controls or security; impersonate any person; or interfere with the operation of the Site. We may suspend or terminate access for any violation, without refund.
 

6. Third-party tools and links

The Program relies on and references third-party tools and platforms, including Anthropic's Claude and Cowork, Wix, and others. We do not control these tools and are not responsible for them, their availability, pricing, or terms. An active Claude account maintained by you at your own cost is required to complete the practical work. Links to third-party sites are provided for convenience and are not endorsements.
 

7. No guarantee of results

The Program teaches systems and judgment. It does not promise income, revenue, clients, or any specific outcome. Results depend on your own effort, skill, and circumstances, which are outside our control. We make no earnings claims. Any example shown illustrates a process, not a promise of performance.
 

8. Disclaimers

The Site and Program are provided "as is" and "as available," without warranties of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site or Program will be uninterrupted, error-free, or that it will meet your expectations.
 

9. Limitation of liability

To the fullest extent permitted by law, Saint MGMT LLC and its owner, members, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Site or Program. Our total liability for any claim will not exceed the amount you actually paid us for the plan giving rise to the claim.
 

10. Indemnification

You agree to indemnify and hold harmless Saint MGMT LLC and its owner, members, and affiliates from any claims, damages, liabilities, and reasonable costs, including attorneys' fees, arising from your use of the Site or Program, your breach of these Terms, or your violation of any law or third-party right.
 

11. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in or serving Chesterfield County, Virginia, and you consent to personal jurisdiction there. Before filing any action, you agree to contact us and attempt to resolve the matter in good faith for at least 30 days. To the extent permitted by law, any claim must be brought within one year after it arises.
 

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new effective date. Your continued use of the Site after a change means you accept the updated Terms.
