Enrollment and Plan Policy

Applies to the Operator plan and the core course

Effective date:  August 18, 2026

Seller:  Saint MGMT LLC, a Virginia limited liability company, operating the Mika-Taché brand.

 

1.  Agreement to these terms

By purchasing, enrolling in, or accessing A(i)gency (the “Program”), including the Operator plan, you (“you,” “the Student”) agree to this Enrollment & Plan Policy (this “Policy”). If you do not agree, do not purchase or access the Program. You confirm that you are at least 18 years old and able to enter a binding contract.

2.  The Program and the Operator plan

A(i)gency is a self-paced, digital educational program that teaches an operating model for running a solo creative or marketing practice with the assistance of AI tools. The Program is offered in two plans:

Core ($897, one-time): access to all course modules, lessons, quizzes, and the worksheets provided within the modules.

Operator ($1,497, one-time): everything in the core course, plus two downloadable deliverables, the Prompt & Template Vault and the Clone My Workspace Starter Kit (together, the “Operator Materials”), and any additional Operator benefits described at the point of sale.

Plan contents, module count, and benefits may be updated, improved, or reorganized over time, and we may substitute a benefit of equal or greater value. The Program is a digital educational product. It is not consulting, coaching for your specific business, legal advice, financial advice, or a done-for-you service, and no ongoing professional relationship is created by your purchase.

3.  Pricing, payment, and taxes

All prices are in U.S. dollars. Payment is due in full at purchase unless an installment option is expressly offered and selected. Your purchase is processed through our third-party payment processor, and you agree to its terms. You are responsible for any applicable sales, use, or similar taxes. We may change plan pricing at any time; the price in effect at the time of your purchase governs your order. If you select an installment option, you authorize each scheduled charge, and if a scheduled payment fails and is not cured within a reasonable time, we may suspend or terminate your access until the balance is paid in full.

4.  Access, delivery, and the Claude requirement

The Program is delivered digitally through our course platform hosted on mika-tache.com. Access begins after your payment is confirmed. Operator access, including access to the Program and the Operator Materials, continues on a lifetime basis for as long as we make the Program available, subject to this Policy. “Lifetime” refers to the commercially reasonable operating life of the Program and does not mean perpetual or guaranteed availability. If we ever discontinue the Program, we will give active Students a reasonable opportunity to download a final copy of the course materials they purchased.

The Program is built to be used with Anthropic’s Claude and Cowork tools. A separate, active Claude account maintained by you at your own cost is required to complete the practical work. We do not provide, and are not responsible for, your access to Claude or any third-party tool. This requirement is disclosed before purchase.

5.  License, and no sharing or transfer of content

Upon payment, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Program and, for Operator Students, the Operator Materials, solely for your own individual learning and for operating your own business. The license is issued to one named Student. It is not a sale of the content, and no ownership passes to you.

You may adapt the prompts, templates, and worksheets for use inside your own business. You may not, directly or indirectly:

  • share, give, lend, sell, resell, rent, license, sublicense, assign, or transfer the Program content or Operator Materials, or your account or access, to any other person or entity;

  • share, publish, post, upload, screen-record, email, or otherwise distribute any part of the Program or Operator Materials, in whole or in part, publicly or privately, including in any group, community, shared drive, or messaging channel;

  • provide your login credentials to, or allow access by, anyone else;

  • use the Program or Operator Materials on behalf of, or for the benefit of, a team, agency, cohort, or organization under a single purchase;

  • use any part of the Program to create, market, or operate a competing course, template, training, or product; or

  • use any part of the Program to train a machine-learning model.

One purchase covers one individual Student. Team, staff, or multi-seat use requires a separate written license from us. The Operator Materials may carry visible or invisible identifying marks tied to your purchase, and you consent to this. Unauthorized sharing, transfer, or distribution is copyright infringement and a material breach of this Policy. If you share, transfer, or distribute the content, we may immediately terminate your access without refund and pursue injunctive relief and monetary damages, including our attorneys’ fees and costs, to the fullest extent permitted by law. You are responsible for any access to or use of the Program through your account, whether or not you authorized it.

6.  Intellectual property and confidentiality

All Program content, including videos, written lessons, quizzes, worksheets, the Prompt & Template Vault, the Clone My Workspace Starter Kit, and the underlying methods, structure, and branding, is owned by Saint MGMT LLC and protected by copyright and other laws. Nothing in this Policy transfers ownership to you. The Operator Materials and any non-public operating detail disclosed in the Program are our confidential and proprietary information, and you agree not to disclose them outside the permitted personal use described in Section 5.

7.  Refunds and cancellation, all sales are final

The Program is a digital product delivered immediately upon purchase, and the Operator Materials are downloadable files that cannot be returned once they have been accessed or downloaded. You are buying immediate access to digital content.

All sales are final. All payments are non-refundable. We do not offer refunds, returns, exchanges, credits, or cancellations for any reason, including but not limited to change of mind, a decision not to use or complete the Program, dissatisfaction with the content, failure to achieve any result or outcome, lack of time, creating a duplicate account, or loss of access resulting from your breach of this Policy.

By completing your purchase, you expressly acknowledge that you are receiving immediate access to digital content, and you waive any right of cancellation, cooling-off, or withdrawal to the fullest extent permitted by applicable law. This no-refund policy is disclosed to you before purchase, and your completion of the purchase is your acceptance of it.

The only exception is a genuine billing error, such as a duplicate charge or an incorrect amount. If that occurs, contact us within 14 days at the address in Section 17 and we will correct a confirmed error. This does not create a right to a refund for any other reason. Nothing in this Section limits any right you have that cannot be waived under applicable law; if a refund is ever legally required, it will be limited to the minimum the law requires and may be reduced by the value of materials already accessed or downloaded.

Chargebacks.  If you initiate a chargeback, payment dispute, or reversal without first contacting us about a confirmed billing error, you are in breach of this Policy. We may present this Policy and your purchase records as evidence of your agreement, terminate your access without refund, and recover our costs.

8.  No guarantee of results

The Program teaches systems and judgment. It does not promise income, revenue, clients, or any specific business outcome. Your results depend on your own effort, skill, market, and circumstances, all of which are outside our control. We make no earnings claims and provide no income projections. Nothing in the Program is a guarantee that you will earn any amount or achieve any result. Any examples shown are illustrations of process, not promises of performance.

9.  Third-party tools and services

The Program references and relies on third-party tools and platforms, including Anthropic’s Claude and Cowork, Wix, and others. We do not control these tools, their features, pricing, availability, or terms, and they may change or be discontinued at any time. We are not responsible for third-party tools, and your use of them is governed by their own agreements. References to any tool are for education and do not imply endorsement by, or affiliation with, that provider.

10.  Acceptable use and account conduct

You agree to use the Program lawfully and consistent with this Policy. You will not share access, scrape or bulk-download content beyond normal personal use, circumvent access controls, or use the Program to create competing or derivative educational products. We may suspend or terminate your access, without refund, if you materially breach this Policy, and pursue any remedy available at law or in equity.

11.  Disclaimer of warranties

The Program and all materials are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Program will be uninterrupted, error-free, or that it will meet your expectations or produce any particular outcome.

12.  Limitation of liability

To the fullest extent permitted by law, Saint MGMT LLC and its owner, members, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or relating to the Program or this Policy, even if advised of the possibility of such damages. Our total aggregate liability for any claim relating to the Program will not exceed the amount you actually paid for the plan giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

13.  Indemnification

You agree to indemnify and hold harmless Saint MGMT LLC and its owner, members, and affiliates from any claims, damages, liabilities, and reasonable costs, including attorneys’ fees, arising from your breach of this Policy, your misuse of the Program or Operator Materials, or your violation of any law or third-party right.

14.  Governing law, venue, and dispute resolution

This Policy is governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. The parties agree that the exclusive venue for any dispute that is not otherwise resolved will be the state or federal courts located in or serving Chesterfield County, Virginia, and each party consents to personal jurisdiction there. Before filing any action, you agree to first contact us and attempt in good faith to resolve the dispute informally for at least 30 days. This Policy is intended to comply with the Virginia Consumer Protection Act and other applicable Virginia law; nothing in it waives any right you cannot lawfully waive. To the extent permitted by law, any claim must be brought within one year after it arises.

15.  Changes to the Program and to this Policy

We may modify the Program and update this Policy from time to time. The version in effect at the time of your purchase governs that purchase. Material changes will be posted on the Program page with an updated effective date. Your continued access after a change means you accept the updated Policy for ongoing use.

16.  Entire agreement and severability

This Policy, together with any order confirmation and any terms presented at checkout, is the entire agreement between you and us regarding the Program and supersedes prior discussions. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision will be enforced to the maximum extent permitted.
